1.

PROGRAMME DESCRIPTION - WelcomLink is a free of charge Programme offered by ITC Limited (hereafter referred to as ITC).

2.

DEFINITIONS - (a) Blackout Periods: are the periods during which WelcomLink Points (the currency of the WelcomLink Programme) cannot be redeemed in respect of ITC Hotels which may be communicated by ITC from time to time or notified at www.itchotels.in/welcomlink or posted on the website for the relevant participating ITC Hotel. (b) Customer Care: is the contact point of WelcomLink at customer.service@itchotels.in or 0124-4172132/33. (c) Partner: is the brand of a third party entity with which ITC has or may have an alliance to enable the WelcomLink member redeem his/her Points.

ELIGIBILITY and ENROLLMENT - Enrolment in WelcomLink is open to any adult natural person who is a resident Indian national or a foreigner or non-resident Indian, holding a valid work permit and residing in India. Airline crew and employees of ITC and its subsidiary companies are not eligible to become members of WelcomLink. The eligibility criteria towards being considered for retention of the WelcomLink membership shall be based on the materialization of a minimum of 25 room nights at participating ITC Hotels at the conclusion of the period of the preceding Programme.

WELCOMLINK CARD - (a) On enrolment, each member of WelcomLink shall be provided a WelcomLink card with such details as may be deemed fit by ITC including a membership number. (b) A WelcomLink Card is not a credit card and may be used only by the member in whose name the card is issued. The Membership Card is not transferable. The WelcomLink Card will be sent to the preferred postal address quoted by the member during enrolment. By receiving the WelcomLink Card or by referring to the membership number during any transaction including a redemption request, a WelcomLink member shall be deemed to have accepted the terms and conditions for the WelcomLink Programme specified from time to time at www.itchotels.in/welcomlink. (c) In order to avail of the applicable WelcomLink benefits the member must present the WelcomLink Card at the time of availing the service(s). (d) If the WelcomLink Card is lost, damaged or stolen, the member must inform ITC by calling or writing to the WelcomLink Customer Care at 0124-4172132/33 or customer.service@itchotels.in. (e) In case of non-receipt of Permanent membership card, it is incumbent on the member to communicate the same within 30 days of either of the events to the WelcomLink Customer Care, in writing. (f) In case of WelcomLink Points not being credited to the member's account, the member shall be required to notify Customer Care in writing of the materialized booking(s) of which the Points have not been credited.

EARNING WELCOMLINK POINTS : A. WelcomLink members can earn Points on the basis of the Points matrix enclosed in the Brochure and or the Website. B. The earning of WelcomLink Points shall be subject to further conditions as follows: i. WelcomLink Points cannot be clubbed with any other loyalty membership points of self or another person or transferred to another member or any other person. ii. WelcomLink Points are not equivalent to monetary amounts and cannot be redeemed for cash. iii. WelcomLink Points shall be credited to the WelcomLink members account for all bookings based on materialized room nights, valid at all participating hotels. Points will not be awarded for noshows, cancelled or duplicate bookings made by other WelcomLink members. iv. Earning of WelcomLink Points shall be applicable to rates such as rack rates, special rates as ETVP, CVGR etc. Earning of WelcomLink Points shall be applicable only to paid materialized roomnights and not on complimentary bookings and or materialized roomnights, without a payment. v. WelcomLink Points can be earned for bookings up to 30 consecutive nights at a participating ITC Hotel, for which the member shall receive a one time credit of WelcomLink Points upon the materialization of the booking. After a period of 30 days of stay, a checkout has to occur and a period of 24 hours must lapse before the next checkin at a participating ITC Hotel in order for the booking to be eligible for earning Points. vi. A minimum of 24 hours difference between successive checkouts and checkins at the same hotel is required for calculating eligibility of the booking at participating ITC Hotels. vii. Members cannot combine the WelcomLink Programme with any other programme including any other loyalty programme membership with Partners. WelcomLink Points cannot be earned on bookings for both Programmes. viii. Earning of WelcomLink points and redemption of rewards is subject to all applicable laws and regulations including taxes which are the responsibility of the recipient. C. ITC Limited Hotels Division may debit the account of a member for WelcomLink points credited incorrectly and inform the member accordingly.

REDEMPTION OF WELCOMLINK POINTS : A. WelcomLink Points can be redeemed by a member for: i. Issuance of ITC Hotels Gift Vouchers usable for purchase of stay or accommodation, food and beverage, spas, business centre facilities, banquets, Kitchens of India products and salons, where available. Redemption of WelcomLink Points for ITC Hotels shall not be available during Blackout Periods. ii. Issuance of ITC Hotels Great Experience Certificates, Fortune Holidays Certificates and Unique Heritage Experience Certificates for 1 Night 2 Nights Stay and fine dining experiences. Issuance of Wills Lifestyle Gift Certificates usable at Wills Lifestyle stores for purchase of: Wills Lifestyle apparel and accessories - Essenza Di Wills personal care products or Fiama Di Wills personal care products. iv. Issuance of John Players Gift Certificates usable at John Players Stores for purchase of John Players apparel and accessories. v. Issuance of Gift Certificates for Bose products for redemption of identified products at identified outlets in India. vi. Issuance of Certificates to the applicable extent for Lifestyle Hidesign Gitanjali Lifestyle and Sodexho products at identified Stores around India. For details, contact Customer Care or log onto www.itchotels.in/welcomlink. vii. Issuance of Gift Certificates to the applicable extent for Travel House services. B. The WelcomLink Points do not carry uniform values for the purpose of redemption across different brands of ITC or Partners. C. On redemption, the WelcomLink members account shall stand debited by the number of WelcomLink Points redeemed. D. All ITC policies for availability, cancellation, usage, stay etc that ITC may have in respect of ITC Hotels, Wills Lifestyle, John Players, Essenza Di Wills, Fiama Di Wills shall additionally apply to any availment by a WelcomLink member of the products or services of the relevant brand pursuant to a redemption. E. ITC Hotels services availed of by members must be settled in cash or credit card, in case the value of the services exceeds the value of ITC Hotels Great Experience Certificates, Fortune Holiday Certificates, Unique Heritage Experience Certificates and ITC Hotels Gift Certificatess. F. Any instrument of redemption including all Certificates is not redeemable, replaceable or refundable in cash. Neither can they be exchanged for any other vouchers of alternative denominations or part thereof. The Certificates shall not be reissued if stolen, destroyed or otherwise lost in any manner. G. Redemption of the WelcomLink Points for issuance of Gift Certificates can be done by a WelcomLink member by accessing www.itchotels.in/welcomlink, contacting Customer Care and requesting for redemption or writing to customer.service@itchotels.in. H. Apart from the Terms and Conditions stated herein, the terms and conditions printed on the reverse of Gift Certificates shall also govern the receipt and utilization of the Gift Certificates. J. Partner entities may impose additional terms and conditions, statutory or otherwise on redemption of WelcomLink Points or usage of Gift Certificates, which shall be binding on WelcomLink members. The type of redemption being sought will determine the minimum number of days required to process the redemption which could range from approximately 7 to 28 working days. K. Taxes may additionally be levied on purchases via Gift Certificates, which shall be paid for by the member in cash and or recognized credit or debit card. L. All Gift Certificates will be sent to the preferred mailing address in India only of the member reflecting in the WelcomLink account. If an envelope is received in a damaged condition, a WelcomLink member must not accept the same from the courier in order to receive a replacement from ITC. No replacement of Gift Certificates will be provided or any such request entertained if the WelcomLink member has accepted the delivery of the Gift Certificates. M. Redemption requests once received cannot be reversed and the relevant number of WelcomLink Points shall stand debited from the WelcomLink members account on receipt of such redemption requests. N. Visuals of models and designs featured in the Brochures and or website are only indicative and the actual products may vary. O. Merchandise redemptions are subject to availability, modifications or discontinuances. The Member is advised to contact the Store or Redemption Partner prior to procuring the product and confirm its availability ascertain the time in which the Store or Redemption Partner will be able to procure the product for the Member.

7.

ADDITIONAL TERMS - (a) ITC holds out no representation or warranty in respect of the quality of the products and services of the Partner. All sale of products and services by ITC are also on an as is where is basis. (b) The WelcomLink programme will remain valid till September, 2013 and all Points must be redeemed within six months of expiry of the WelcomLink Programme. (c) Without prejudice to other rights of ITC, the membership of a WelcomLink member may be terminated by ITC at its sole discretion without assigning any reason, in the event ITC is of the view that any conduct of a WelcomLink members is unacceptable or inappropriate. (d) ITC disclaims all responsibility and liability with respect to any act or omission by any of the Partners, their directors, employees, agents or contractors. (e) ITC shall be entitled to use personal information provided by the WelcomLink member for marketing of the WelcomLink Programme, without further reference to the WelcomLink member.

8.

LIMITATION OF LIABILITY - The WelcomLink Programme is gratuitous and being made available by ITC without any consideration for the same being provided by a person or WelcomLink member and the purchase of products of identified brands does not form nor shall be deemed to form any consideration for the availability or continuance of this Programme or any benefits thereunder. As such, ITC or its directors, employees, agents, affiliates or contractors shall not be held liable for any direct, indirect, special, consequential, remote or punitive losses, damages, costs and expenses, howsoever suffered or threatening to arise against a WelcomLink member or prospective member, with or without any act, breach or omission by ITC or its directors, employees, agents, affiliates or contractors, or its Partners and their directors, employees, agents, affiliates or contractors.

9.

BINDING DECISIONS OF ITC - All decisions by ITC in respect of this Programme or any element thereof including, without limitation, in respect of the number of WelcomLink Points credited, redemption of WelcomLink Points, conversion of WelcomLink Points, termination of membership at discretion of ITC, closure or earlier withdrawal of the Programme, etc shall be final and binding on a WelcomLink member or prospective member.

10.

APPLICABLE TERMS AND CONDITIONS - The terms and conditions for the WelcomLink Programme specified, may change at the discretion of ITC from time to time. All such changes shall be effective from the date of posting at the website www.itchotels.in/welcomlink and shall be binding on a WelcomLink member. Members are requested to update themselves by visiting www.itchotels.in/welcomlink on any changes thereto which may not be separately intimated by ITC or brought to the attention of a WelcomLink member.

11.

JURISDICTION - All disputes assignment of or related to WelcomLink shall be subject to the exclusive jurisdiction of the courts at New Delhi.
